These Terms and Conditions ("Terms") govern your access to and use of niaitsolutions.com (the "Site") and the services you purchase from us. The Site and services are provided by NI Associates Inc. (operating as Nia IT Solutions), a company registered in Canada, with its office at 11 – 2295 Rochester Circ, Oakville, ON L6M 5C9, Canada ("Nia IT Solutions", "we", "our" or "us"). By accessing or using the Site, or by purchasing our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. About Us

Nia IT Solutions is the trading name of NI Associates Inc. We provide custom mobile app development, app modernization, user-centered design, security and performance services, and ongoing app maintenance and support. Our business details are listed in section 12.

2. Changes to These Terms

We may update these Terms from time to time. Changes take effect when they are posted on this page with a new "Last updated" date. The Terms in force when you accept a quote or make a payment apply to that purchase.

3. Use of the Site

You must be at least 18 years old, or the age of majority where you live, to use the Site or purchase our services. When using the Site, you agree not to:

• Violate any applicable law or regulation
• Infringe the intellectual property or other rights of any person
• Interfere with or disrupt the Site, its servers or networks
• Transmit viruses, malware or any other harmful code

4. Services, Quotes and Payment

• Descriptions and prices. Our services and their prices are described on our Services & Pricing page. All prices are in United States dollars (USD) and exclude applicable taxes unless stated otherwise.
• Written quote. Before any project begins, we provide a written quote or invoice describing the service, the scope of work, the price in USD and the payment schedule. The quote forms part of your agreement with us.
• Payment. We accept payment by Visa and Mastercard. Payment is due as stated on your invoice. Card payments are handled by our third-party payment processor; we do not store full card numbers on this Site.
• Subscriptions. Monthly services, such as App Maintenance & Support, are billed in advance each month until cancelled in accordance with our Refund & Cancellation Policy.

5. Refunds, Cancellation and Delivery

Cancellations and refunds are governed by our Refund & Cancellation Policy. How and when we deliver our services is explained in our Service Delivery Policy. Both policies form part of these Terms.

6. Intellectual Property

All content on the Site, including text, graphics, logos and design, is owned by NI Associates Inc. or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute or use it without our express written permission.

Ownership and licensing of project deliverables are set out in your written quote or agreement. If you submit content to us through the Site (for example, feedback or project information), you grant us a non-exclusive, royalty-free licence to use it to provide and improve our services.

7. Third-Party Links

The Site may contain links to third-party websites. We are not responsible for their content, privacy policies or practices, and you access them at your own risk.

8. Disclaimers and Limitation of Liability

The Site is provided on an "as is" and "as available" basis. We make no warranties regarding the availability, accuracy or reliability of the Site or its content.

To the fullest extent permitted by law, NI Associates Inc. is not liable for any indirect, incidental, special or consequential damages arising from or related to your use of, or inability to use, the Site. Nothing in these Terms excludes or limits any rights you have under applicable consumer protection laws that cannot be excluded or limited.

9. Indemnification

You agree to indemnify and hold harmless NI Associates Inc. and its officers, directors, employees and agents from any claims, losses, liabilities and expenses arising from your misuse of the Site or your violation of these Terms.

Our Privacy Policy explains how we collect, use and protect your personal information.

11. Governing Law and Jurisdiction

These Terms, and any dispute arising out of or relating to them, the Site or our services, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

You and NI Associates Inc. agree to submit to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada, except where applicable law gives you the right to bring proceedings elsewhere.
